Making the decision to create a legal entity

Before you run to the registrar with documents, you need to think everything through carefully. This stage is like laying the foundation for a future house: if you do everything right, it will be much easier later on. You and your partners (if any) will have to agree on key points. What exactly will the company do? What name will you choose? Where will your legal address be? What will the authorized capital be and how will you divide it? Who will be the director? All these agreements are recorded in the minutes of the founders’ meeting and, most importantly, in the charter. The registration of the legal entity’s charter is an integral part of the process, as the charter is the constitution of your company, its main internal document.

Procedure for state registration of a legal entity

Alright, the plans are sorted out. Now it’s time to move on to the official part—the actual state registration of legal entities and individual entrepreneurs. For this, you go to a state registrar (at a TsNAP) or a notary.
To ensure everything goes smoothly, gather the full list of documents for creating a legal entity. Here is what you will typically need:

  • Application for state registration.
  • Minutes of the founders’ meeting (the same decision you made in the first stage).
  • Your charter (unless you decide to operate based on a model charter).
  • Ownership structure (who the ultimate beneficial owner of the company is).

Keep in mind that this is a basic list, and depending on your situation, other papers may be required. The main rule is: the more carefully you prepare the documents, the less chance you have of being rejected and wasting extra time.

Good news: you don’t necessarily have to go to the registrar at the company’s place of registration. Thanks to the principle of extraterritoriality, you can submit paper documents at any TsNAP or notary within your region. If you have an electronic signature, then registering legal entities online via “Diia” is the most convenient option, available from anywhere in Ukraine. There is also a separate procedure for registering a legal entity in the electronic court system, but it is needed for participation in court proceedings.

Post-registration procedures for creating a legal entity

Congratulations, your company is officially registered! But it’s too early to relax. The registrar will automatically transfer your data to the tax authorities and the Pension Fund, so you won’t have to run around these institutions. An important point: by default, you will be on the general taxation system. If you want to pay the single tax, don’t forget to submit the relevant application as soon as possible. And, of course, the final step to full operation is opening a bank account.

State registration of changes to constituent documents

Life doesn’t stand still, and neither does business. You might want to move to a new office, change the director, or expand and open a branch. Remember: any such changes—whether it’s registering a change of the legal entity’s location or the state registration of changes to constituent documents—must also be officially registered. This also applies to the registration of a branch of a legal entity. The procedure is very similar to the initial registration: you gather the documents, go to the registrar, and make changes to the Unified State Register.
